Terms of Service
Last updated: October 3, 2026
These Terms of Service ("Terms") are a contract between you and ProfitClerk ("we", "us"), the provider of ProfitClerk at https://profitclerk.com and in the ProfitClerk mobile apps (the "Service"). Please read them carefully. By creating an account, buying a plan or using the Service you agree to these Terms, our Privacy Policy, our Refunds & Cancellation Policy and, where we process personal data on your behalf, our Data Processing Agreement.
1. Who can use the Service
The Service is a business tool for people who sell online. You must be at least 18 and able to enter into a binding contract. If you use the Service for a company or other organisation, you confirm that you are authorised to accept these Terms for it, and "you" means that organisation.
If you are a consumer (someone acting mainly outside a trade, business or profession), the rights the law gives consumers in your country, including those described in our Refunds & Cancellation Policy, apply in addition to these Terms and nothing in these Terms limits them.
2. Your account and workspace
- Give accurate details and keep them up to date. Keep your password secret and turn on two-step sign-in if you can. You are responsible for what happens under your account.
- The person who creates a workspace is its owner. The owner can invite team members and decide what they can do, and is responsible for their use of the Service.
- Tell us straight away at [email protected] if you think someone has used your account without permission.
3. What the Service does
ProfitClerk connects to your eBay seller accounts with read-only access that you grant through eBay, and calculates your profit, fees, stock costs, tax figures and reports. It never lists, changes or deletes anything on eBay. You can also connect accounting software (such as Xero, QuickBooks or FreeAgent) to send summaries of your eBay payouts.
The figures the Service shows depend on the data eBay and the other services you connect provide, and on the costs and settings you enter. We work hard to make them accurate, but they are a tool to help you, not professional advice. You remain responsible for your accounts, tax returns and filings; check important figures and ask a qualified accountant or tax adviser where needed.
ProfitClerk is not affiliated with, endorsed or sponsored by eBay Inc. eBay is a trademark of eBay Inc. Your use of eBay, Whop and any accounting software is also governed by their own terms.
4. Plans, passes and payment
- Plans, their limits and their prices are shown on our pricing page and in Billing. A pass is a one-off payment for access for a set number of days; it does not renew. A subscription renews automatically every month or year until you cancel it.
- Payments are processed by our payment provider, Whop, Inc., which may collect your payment details under its own terms and privacy policy. We do not see or store your full card details.
- Prices are shown before any applicable tax, which is added at checkout where required. You authorise us and our payment provider to charge the price shown, and for subscriptions, the renewal price at the start of each new period, until you cancel.
- A discount or offer applies only as described when you buy (for example, to the first payment only). After that the normal price applies.
- Each plan has usage limits (such as eBay accounts, orders a month, stock items and team members). If you reach a limit, some features (such as importing new orders) pause until the next period or until you upgrade; nothing you have already stored is deleted. If you need higher limits than our plans offer, contact us.
- We may change our prices. A change does not affect a period you have already paid for. For subscriptions we will tell you at least 30 days before a higher price applies, and you can cancel before then.
- If a payment fails, we may pause syncing until it is paid. We will tell you first.
5. Cancellation and refunds
You can cancel a subscription at any time from Billing; it stops renewing and you keep access until the end of the period you paid for. Refunds and your right to cancel as a consumer are described in our Refunds & Cancellation Policy.
6. Acceptable use
You must not, and must not let anyone else:
- use the Service for anything unlawful, fraudulent or harmful, or to process data you have no right to process;
- try to get into accounts, workspaces or systems that are not yours, probe or test our security without our written permission, or get around usage limits, passes or payment;
- overload, disrupt or reverse-engineer the Service, or use automated means to access it except through the features and API we provide;
- resell or provide the Service to others as a service of your own without our written agreement;
- upload malware or content that infringes anyone's rights.
7. Your data
You own the data you bring to the Service ("Your Data"), including the order and buyer information synced from eBay. You give us permission to host, copy, process and display Your Data only as needed to provide, secure and support the Service for you. Where Your Data includes personal data of your buyers or others, you are the controller and we process it on your behalf under our Data Processing Agreement. You are responsible for having a lawful basis to share that data with us.
You can export your data at any time (orders and reports from the app, and your account data from Profile › Download my data). When you delete your account or workspace we delete Your Data as described in our Privacy Policy.
We may use anonymous, aggregated information that does not identify you or anyone else to run and improve the Service.
8. Our intellectual property
The Service, its software, design and content belong to us or our licensors. We give you a personal, non-exclusive, non-transferable right to use the Service while your account is active and you follow these Terms. If you send us feedback, we may use it without owing you anything.
9. Availability and changes
We aim to keep the Service available and secure, but it is provided over the internet and depends on third parties such as eBay, so we cannot promise it will always be uninterrupted or error-free. We may change or improve features. If we remove something important from a plan you have paid for, we will tell you in advance and, if you prefer to stop, refund the unused part of a prepaid period.
10. Suspension and termination
You can stop using the Service and delete your account at any time. We may suspend or close an account if you seriously or repeatedly break these Terms, do not pay, or if the law requires it. Where reasonable, we will warn you first and give you time to put things right and to export your data.
11. Liability
Nothing in these Terms limits or excludes liability that cannot be limited or excluded by law, including liability for death or personal injury caused by negligence, or for fraud.
Subject to that, and if you use the Service as a business: we are not liable for loss of profits, revenue, business, goodwill or data, or for indirect or consequential loss; and our total liability arising from or in connection with the Service in any 12 months is limited to the amount you paid us for the Service in those 12 months.
If you are a consumer, we are responsible for loss you suffer that is a foreseeable result of our breaking these Terms or failing to use reasonable care and skill. We are not responsible for loss that was not foreseeable, and we only provide the Service for business and trade use, so we are not liable to you for loss of profit, business or business opportunity.
12. Changes to these Terms
We may update these Terms, for example when the law or the Service changes. We will show the date of the latest version at the top. For changes that matter, we will tell you by email or in the app before they take effect, and we may ask you to accept the new Terms to continue. If you do not agree, you can cancel and stop using the Service.
13. General
- These Terms, with the policies they refer to, are the whole agreement between us about the Service.
- If part of these Terms cannot be enforced, the rest still applies. If we do not enforce a right straight away, we can still do so later.
- You may not transfer your rights under these Terms without our consent. We may transfer ours to a company that takes over the Service, and will tell you if we do.
- These Terms are governed by the laws of ., and its courts have jurisdiction. If you are a consumer, you also keep the protection of the mandatory laws of the country where you live and can bring proceedings there.
